Step 1: Obtain The Articles of Organization Forms

The Articles of Organization forms for Arizona can be downloaded and filed online or mailed in. You can select your preferred method to complete this first step.

Option 1: To file your articles of organization online for your LLC in Arizona, you first need to create your online account. After you are logged in, on the top toolbar, choose the option “Online Services.” Then choose “Start a New Business” and whether or not you want guided assistance.

Option 2: Obtain the PDF version of the Articles of Organization from the Arizona Corporation Commission. You will need to turn in or mail the form to the Corporations Division.

Step 2: Complete the Articles of Organization forms

To complete each of the sections, you will need to have the following information:

Entity Name
Name and Main Address of the Statutory Agent
Type of Governing Authority

It is important to have a smart and creative business name but it is even more important to have a name that is legally correct.

When choosing your business name, you need to ensure that your name:

Meets the state of Arizona’s naming guidelines.
Is not already being used by another Arizona business.

How to Follow Arizona’s Name Guidelines:

Your business name needs to contain the following abbreviations or words: LC, LLC, L.C., L.C.C., limited company, or limited liability company.

Your name may not contain the words “incorporated,” “association,” “corporation,” or an abbreviation of any of those words.
Your name cannot contain words that will confuse your LLC with any government agency (i.e. State Department, Treasury, FBI, etc.)

Your name needs to be distinguishable from all of the state’s existing businesses.

Register Your Business Domain Name

We highly recommend that you see if your preferred business name is also available as a domain name for your website. If you are not planning to create a business website right now, you might still want to purchase the UL, so that no one else can acquire it.

Statutory Agent’s Name and Main Office Address

The statutory agent, which in most states is called the registered agent, sends and accepts legal documents on behalf of your Arizona LLC. When registering your LLC in Arizona, you must list your company’s statutory agent and their main address.

The state of Arizona also that LLCs file their Statutory Agent Acceptance form with the Articles of Organization.

The statutory agent for your business can be any person who is at least 18 years old and lives in the state of Arizona. The statutory agent must be available a the main office during normal business hours. The main office address may not be a P.O.box.

Governing Authority

You are required to state whether your LLC is going to have managers or not. If you will be having managers, each initial manager must be listed. If the members of the LLC will be managing it, the one member a least must be listed.

In the state of Arizona, you must file either a Manager Structure Attachment form or a Member Structure Attachment form with your company’s Articles of Organization.

Step 3: File Your LLC’s Articles of Organization

To get your LLC registered, your Articles of Organization need to be filed and submitted to Arizona Corporation Commission.

Your Articles of Organization can be filed in two different ways:

Submit a physical copy in-person or by mail.
Complete and submit the form online.

Option 1: Log into or create your Arizona Corporation Commission account. Next, fill in all of the required fields on the form and submit it.

Option 2: Download the Articles of Organization and either submit it in-person or mail it to the Arizona Corporation Commission.
