1. Name Your Michigan LLC

Michigan requires including “LLC” or “LC,” with or without punctuation. More requirements for your LLC name choice can be found in Section 450.4204 of Michigan’s state laws. Inclusion of the word “corporation” or “incorporated” isn’t allowed, either. Review Section 450.4204 to ensure that you’ve chosen a good name for your LLC.

Look the name you have in mind up on Michigan state’s Corporate Division website. This will ensure you don’t take another business’s name. The business name you choose must be unique.

2. Organize Your Michigan LLC Members

When starting an LLC, it’s important to determine the organization’s governance. You’ll need to know who your LLC’s members will be to form an LLC in Michigan. Michigan does not impose restrictions on members within the business. The limits only include that all members are over 18 years of age, and that relevant professional licenses and permits must be current and valid.

4. Choose Expedited or Standard Service

If you elect to file on your own, you have two choices when you file by mail: standard service or expedited service.

A basic filing fee of $50 must be included with your filing. Expedited requests can cost as little as $50. Some rush fees cost hundreds of dollars. One-hour service, for example, costs $1000.

You’ll need to add the Expedited Service Request form to your LLC application if you go this route. Michigan provides 24-hour and same day services. Review the Expedited Service Request form itself to get the latest rush frees.

5. File the Forms for Your Michigan LLC Formation

There is a lot of information to submit when you form an LLC. When you form an LLC in Michigan, you’ll need to see which state requirements are necessary for your LLC to be approved. You can check Michigan’s Secretary of State website for more information about what you’ll need to file specifically.

There are two forms that you must submit to the state in order to be approved for your LLC. Form CSCL/CD700 establishes a general domestic liability company. Companies that will provide specific services may need to use a different form and may also need to acquire licenses and permits.

Some must also submit form BCS/CD 701. Osteopathic physicians, doctors of divinity, surgeons, and attorneys use form BCS/CD 701, according to the state of Michigan. 6. Submit Your Documents to the State of Michigan

Now you need to send each document listed above, along with the applicable fees, to the state. You have three options to get this part of the job done. Submit your forms online, mail them in, or hand deliver the paperwork to the state’s office.

Consider registered mail to track a delivery date if you’ve elected to mail your forms for your new business. Call (517) 241-6470 for information on business hours for the Corporations Division office. Fees can be paid in person with a check, money order, VISA, MasterCard, or Discover card at the Corporations Division office.

The state mails the original back to the registered office address indicated on the form. A copy of the form is filed with the Corporations, Securities & Commercial Licensing Bureau for your LLC in Michigan. This copy remains in electronic format. Your form remains available there if you need it for future business purposes.

7. Secure an EIN for Your Michigan LLC

Your next step for forming an LLC in Michigan is to apply for an employer identification number (EIN). Securing an EIN is a free service offered by the state. Your EIN is obtained directly from the IRS and acts as a tax ID for your business. We recommend that you wait until your LLC is approved before you apply for an EIN for your business so you don’t have to do the EIN application twice.

The EIN can be referred by other names as well. It is called Employer ID number, Federal Tax Identification Number, or Federal Tax Number. Make sure your business names associated with the LLC matches bank documents that contain the EIN. Anyone transitioning from sole proprietor to an LLC name must update their bank information if they want to have an EIN. Not only is this good practice, it will also help you avoid future trouble for your business if you are selling goods and collecting sales tax within Michigan.

If you will have more than one member in your Michigan business, you will need to have an EIN to pay them through your business bank account. Additionally, an EIN offers further liability protection by allowing you to keep personal transactions and business transactions separate. By running business transactions through your tax ID (EIN), it’s also much easier to keep your bank account and taxes organized for your business in terms of sales tax and income tax.

8. Apply For Any Required Business License and Permit

If you’ve never done business in the state of Michigan, you’ll need to be sure that you have the proper licenses and permits to legally run your business. Make sure your LLC’s name appears on all relevant business licenses and permits so you can be sure that your permits are valid for your LLC.

Step 1 is to check with the Department of Licensing to see which permits are relevant for your company. 9. File Your Articles of Organization

Whether you are a multi member LLC or if you operate as a sole proprietorship, you’ll need to file your Michigan LLC Articles of Organization with the Michigan Secretary of State. Similar to an LLC Operating Agreement, the Articles of Organization distinguish the duties, obligations, and power structure of the LLC. Essentially, the Articles of Organization create an outline for your LLC to follow.

Once you create the outline for your Articles of Organization, all members will sign this binding agreement and operate the LLC as agreed upon. In order to remain in good standing, be sure to update your Articles of Organization if any changes are made to your LLC.

Fill out your Articles of Organization forms carefully. Remember to:

  • List all the members of the LLC
  • Name a designated representative for the Articles of Organization
  • Use your company EIN
  • Provide a Michigan street address from your registered agent
