What Is A Registered Agent In Wyoming?
A “Registered Agent” is either a company or person that will agree to accept any legal mail for your LLC, if your company gets sued. Legal mail is classified as Service of Process, which includes items such as subpoenas, summons, and complaints.
In summary, this is the way that legal systems and the courts work. They want to ensure that a certified street address is provided where important documentation can be sent to, and delivery of such documents will be tracked (similar to CMRR- Certified Mail Return Receipt).
In many of the states, a Registered Agent also serves as a general contact point for receiving tax and business notices, reminders for annual reports, and other business-related documents. However, the correspondence that comes from the Wyoming Secretary of State is now mainly sent by email.
The LLC Registered Agent that you have chosen is required to have a Wyoming physical address, while PO Boxes are not permitted.
Your Wyoming Registered Agent should be a company or person available during usual business hours (9 am to 5 pm), from Monday through to Friday, to ensure that if a Service Process arrives someone will be available to sign for these documents.
Who Can You Choose As A Registered Agent In Wyoming For Your LLC?

What Type Of Registered Agent Should You Choose?
If you already have a physical Wyoming street address (either an office or home address), you are a resident of Wyoming, you can accept mail during usual business hours, you are 18-years of age or older, then you will be able to serve as a Registered Agent for your LLC.
If you do not have a physical Wyoming street address, then you can ask a family member or friend if you can use their address. However, you first need to make sure this person agrees to become a Registered Agent, have a Wyoming street address, live in Wyoming (resident of the state), be 18-years of age or older, and that they are available to receive correspondence during standard business hours.
If you do not have a Wyoming street address, and you are not able to use a family member’s or friend’s street address (or when you have chosen not to), your next option would be to hire a Commercial Registered Agent.
What Is A Commercial Registered Agent In Wyoming?
Commercial Registered Agents are companies that specialize in accepting and receiving Service of Process on the behalf of a Wyoming LLC. The Commercial Registered Agents typically charge an annual fee of between $100 and $300.
Once you have hired a Commercial Registered Agent, they agree to receive Service of Process for your LLC in Wyoming, where they will forward your mail to an address of your choosing. Today, many of the Commercial Registered Agents will email your documentation to ensure faster delivery.

Tips On How To Ensure Your Address Remains Off Public Records
Many Wyoming filers start their companies from their homes. You must realize that any address on your LLC’s Articles of Organization will be listed on public records and can even come up in Google searches.

Do You Need Any Other Address For Your LLC In Wyoming?
When filing your LLC’s Articles of Organization in Wyoming (more details to follow in the next step), you will be required to list 3 addresses:
- Registered Agent Address: As mentioned above, this has to be a Wyoming street address. You can choose an individual to be your LLC’s Registered Agent, or hire a Commercial Registered Agent.
- Principal Office Address: You can compare this to an LLC’s “headquarters”. You can choose an office address (when applicable), or a residential address, or a family member or friends address, or any address of your choosing. This address is allowed to be in any of the states, which means it is not required to be an address in Wyoming.
- Mailing Address: This is the primary means of the state to send you any physical mail. You can choose your Principal Office Address or another address. If you prefer to receive mail at another address, this mailing address must be listed in your Articles of Organization. This address can be in any of the states and is not required to be an address in Wyoming (but it can be).
Useful Tip: You can choose just one address or choose 3 completely different ones, or 2 that are the same while the 3rd one is different. Any combination will be accepted.
What Type Of Mail Is Sent To These Addresses?
Any court documents or legal mail can be sent to (or “served upon”) your Registered Agent for your LLC. A person is known as a “Process Server” will deliver the Service of Process, while the Registered Agent is required to sign for it (similar to Certified Mail Return Receipt).
The state will not send mail to the Principal Office Address you have chosen. They just want this address on file.
All “other mail”, that a state wants to send to you will be delivered to the Mailing Address you have chosen. “Other mail” typically includes Dissolution notices, Registered Agent Resignation, and Annual Report Delinquencies.
Are There Any Risks Involved If A Family Member, You, Or A Friend Is A Registered Agent in Wyoming?
The answer is yes, there may be risks involved. It is not often that these risks occur, but should they arise, you may be at risk of losing your Liability Protection.
It is important to consider the advantages and the drawbacks to make a choice on what makes you feel comfortable. When you use a family member, a friend, or you become your own Registered Agent, this can help you to save a bit of money. However, this approach can expose you and your business to unwanted risks. Deciding to hire a Commercial Registered Agent will cost you a bit of money, but it can also provide peace-of-mind.
If for example, the state fails to reach your Registered Agent for your LLC, you are at risk of losing your favorable standing status, providing the state with authority to go as far as dissolving your LLC in Wyoming.
At the same time, when a Process Server is unable to reach your LLC’s Registered Agent, to deliver a document involving a lawsuit (they usually do try a few times), you run the risk of court cases proceeding without your knowledge or “in your absence”. Even worse, a court can decide to institute judgment against you or your business when you are not there to state your case or defend yourself.
Some of the common reasons Process Servers may be unsuccessful in reaching your LLC’s Registered Agent:
You, a family member, or a friend is not at the address during working (business) hours.
They or you are away on a vacation
You have moved to another address and you failed to or forgot to send a change of Registered Agent with your state
Deciding to use a Commercial Registered Agent offer a far more reliable option, allowing you to go on vacations or leave your address during business hours, or having to change your Registered Agent address when you move.
